In the event of any conflict between these Terms and the Catchword Naimer Service Terms, the Catchword Naimer Service Terms will govern with respect to your use of the Catchword Naimer service.

Use of Artificial Intelligence; Limited Expectation of Privacy
The services provided through the Site may utilize artificial intelligence technologies, including third-party AI tools such as OpenAI’s ChatGPT, to assist in the generation of brand names and related content. By using these services, you understand and acknowledge that your inputs may be processed by such AI systems, which may not be hosted on Catchword’s servers. While commercially reasonable efforts are made to safeguard your data, you should not input any confidential, proprietary, or personally identifiable information into the system unless expressly authorized in writing by Catchword.

 

You acknowledge and agree that any information you submit in connection with your use of the service may be processed and temporarily stored by third-party AI providers in accordance with their applicable terms and privacy practices. For example, OpenAI’s policies are available at https://openai.com/privacy and https://openai.com/terms. Accordingly, you agree that your use of the service does not create an expectation of privacy or confidentiality with respect to your inputs, except as otherwise provided in a separate written agreement.

 

If you are an enterprise client with specific confidentiality requirements, please contact Catchword to discuss a custom engagement governed by a separate agreement that includes appropriate confidentiality, data handling, and processing terms.

 

International Users

The Service is controlled, operated, and administered by Catchword from our offices within the USA. If you access the Site from a location outside the USA, you are responsible for compliance with all local laws. You agree that you will not use any content accessed or acquired through the Site in any country or in any manner prohibited by any applicable laws, restrictions, or regulations, local or otherwise.

 

Indemnification

You agree to indemnify, defend, and hold harmless Catchword, its officers, directors, employees, contractors, and other agents (collectively “Indemnified Persons”) from and against any and all claims, losses, damages, demands, judgments, actions, causes of action, and expenses (including reasonable legal fees and disbursements) relating to or arising from:  a.) your access to this Site; b.) your use of or inability to use any services provided via the Site; c.) any content uploaded, posted, or otherwise provided by you; d.) your violation of any terms of this Agreement; e.) your violation of any rights of a third party; and/or f.) your violation of any applicable laws, rules or regulations. Catchword reserves the right, at its own cost, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will fully cooperate with Catchword in asserting any available defenses.

 

The foregoing indemnification obligation applies in addition to, and does not limit, any indemnification obligations set forth in the terms governing any specific service made available through the Site, including but not limited to the Catchword Naimer Service Terms; both indemnification obligations shall apply independently and cumulatively.

Jurisdiction; Choice of Law

This agreement is governed by the laws of the State of California, without giving effect to the choice of law rules thereof, and you hereby consent to the exclusive jurisdiction and venue of courts in California in all disputes arising out of or relating to the use of the Site. Use of the Site is unauthorized in any jurisdiction that does not give effect to all provisions of these Terms, including, without limitation, this section.

 

General

You agree that no joint venture, partnership, employment, or agency relationship exists between you and Catchword as a result of this agreement or use of the Site. Catchword’s performance of this agreement is subject to existing laws and legal process, and nothing contained in this agreement is in derogation of Catchword’s right to comply with governmental, court and law enforcement requests or requirements relating to your use of the Site or information provided to or gathered by Catchword with respect to such use. If any part of this agreement is determined to be invalid or unenforceable pursuant to applicable law including, but not limited to, the warranty disclaimers and liability limitations set forth above, then the invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision and the remainder of the agreement shall continue in effect.

 

Unless otherwise specified herein, this agreement constitutes the entire agreement between the user and Catchword with respect to the Site and it supersedes all prior or contemporaneous communications and proposals, whether electronic, oral or written, between the user and Catchword with respect to the Site. A printed version of this agreement and of any notice given in electronic form shall be admissible in judicial or administrative proceedings based upon or relating to this agreement to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form. It is the express wish to the parties that this agreement and all related documents be written in English.

 

Neither party may assign these Terms absent the prior written consent of the other party, except that Catchword may assign these terms without such consent in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of its assets or stock.

 

The provisions of these Terms that by their nature should survive termination shall survive any termination or expiration of these Terms or your use of the Site. This includes, without limitation, ownership provisions, warranty disclaimers, limitations of liability, indemnification obligations, dispute resolution terms, and any other provisions that are intended to survive termination.

 

Changes to Terms

Catchword Naimer reserves the right, in its sole discretion, to modify or update these Terms at any time.
